Preamble
The Board of Directors or the Supervisory Board perform the following main tasks : it defines the business strategy, chooses its mode of governance, appoints company officers responsible for managing the company, determines the remuneration policy applicable to the executives, controls the management, and ensures the quality of information given to shareholders and markets.
It is up to each Board of Directors or Supervisory Board to define its organization and method of operation, given the activity and the culture of the company. It should also question its role, which is decisive, and its responsibility.
